TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the website, client portal, and services provided by North Point Consulting (“Company,” “we,” “us,” “our”). By using our website/portal or purchasing services, you agree to these Terms.
1) Services and Scope
Crest Key Consulting provides business and operational consulting services (“Services”), which may include process improvement, operational audits, workflow and systems design, documentation/SOP development, training, implementation support, and related advisory work. The specific scope, deliverables, timeline, and fees will be set forth in your proposal, statement of work (“SOW”), invoice, checkout page, or written agreement.
2) Client Portal Access
If we provide access to a client portal or restricted materials, you agree to:

keep login credentials confidential and not share access with unauthorized parties;

use the portal only for lawful business purposes related to your engagement; and

notify us promptly of any suspected unauthorized access.
We may suspend or revoke portal access for security reasons, nonpayment, or violation of these Terms.
3) No Legal, Tax, or Financial Advice
We are not attorneys, accountants, or financial advisors. Our Services and materials are provided for informational and operational purposes only and do not constitute legal, tax, accounting, investment, or financial advice. You are responsible for obtaining professional advice appropriate to your circumstances.
4) Client Responsibilities
To help us perform Services effectively, you agree to:

provide accurate information and timely access to relevant documents, systems, and personnel;

respond to reasonable requests for feedback/approvals; and
-
understand that results depend on your execution, decisions, market conditions, and third parties.
5) Fees, Billing, and Payments (Stripe)
Fees are described in your SOW/proposal and/or at checkout. Payments may be processed through Stripe and other third-party payment providers we use. By submitting payment information, you authorize us (and Stripe as our payment processor) to charge your payment method for the amounts due, including recurring charges if you enroll in a retainer/subscription.
If a payment fails, you authorize us to reattempt charges and/or request an updated payment method.
6) Recurring Billing (Retainers/Subscriptions, if applicable)
If you purchase a monthly retainer or subscription, it renews automatically on the billing schedule disclosed at checkout/invoice until canceled according to our Refund/Cancellation/Dispute Policy.
7) Late Payments and Suspension
If your account becomes past due, we may pause work, withhold deliverables, and/or suspend portal access until the balance is paid. Past-due balances may incur a late fee of [X% or $X] and/or interest as permitted by law.
8) Intellectual Property and License
All materials, templates, processes, frameworks, SOPs, checklists, and training content we provide are owned by North Point Consulting or its licensors and are protected by law.
Unless otherwise stated in writing, you receive a limited, non-exclusive, non-transferable license to use deliverables internally for your business. You may not resell, redistribute, publish, or create derivative works from our materials without written permission.
9) Confidentiality
Each party agrees to keep confidential any non-public business information received from the other party and to use it only for fulfilling the engagement, unless disclosure is required by law.
10) Disclaimers
Services are provided “as is” and “as available.” We do not guarantee any specific business result, financial outcome, cost savings, revenue increase, occupancy level, or performance metric. Any examples or estimates are illustrative only.
11) Limitation of Liability
To the maximum extent permitted by law, North Point Consulting will not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim will not exceed the amount you paid us in the three (3) months preceding the event giving rise to the claim.
12) Termination
Either party may terminate an engagement according to the SOW or our policies. Upon termination, you remain responsible for fees earned and expenses incurred up to the termination date.
13) Governing Law; Venue
These Terms are governed by the laws of the State of [Wyoming], without regard to conflict-of-law rules. Any dispute must be brought in the state or federal courts located in [County, State], and you consent to jurisdiction there.
